Terms of Service

Effective August 26, 2026Syfon Inc.
Privacy PolicyTerms of Service

These Terms of Service (Terms) are a binding agreement between Syfon Inc. (Syfon, we, us, or our), which operates the ManuFlow service, and the entity or person who accepts them (Customer, you, or your). They govern your access to and use of the ManuFlow website, applications, integrations, and related products and services (collectively, the Services).

By creating an account, connecting a third-party service, or otherwise using the Services, you agree to these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and you refers to that entity.

Our Privacy Policy describes how we handle personal information and is incorporated into these Terms by reference.

01The Services

ManuFlow is an operations platform for consumer packaged goods businesses. It reads business records from systems you connect or files you provide, performs workflows you configure, and presents the results for your review.

We may change, improve, or discontinue features of the Services. If we make a material change that substantially reduces functionality you rely on, we will provide reasonable notice where practicable.

02Accounts and eligibility

The Services are intended for business use. You must be at least 18 years old and able to form a binding contract.

You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account. Notify us promptly at founders@manuflow.ai if you believe your account has been accessed without authorization.

You are responsible for the acts and omissions of your personnel and anyone you permit to access the Services through your account.

03Automated workflows and human approval

ManuFlow uses automated systems, including artificial intelligence and machine learning, to read your business records, identify issues, and propose actions. Proposals are presented to you for review.

Except where you have explicitly configured the Services to act automatically, ManuFlow does not write to your connected systems, send messages on your behalf, or otherwise take an outward-facing action unless a person authorized by you approves that specific action. When you approve a proposed action, you are directing us to perform it, and you are responsible for that instruction and its consequences.

Proposals, summaries, forecasts, recommendations, and extracted data are generated from source documents and system records that may be incomplete, ambiguous, out of date, or themselves incorrect. The Services are a tool to support your judgment, not a replacement for it. You are responsible for reviewing any proposal before approving it, and for verifying anything you rely on for a business, financial, accounting, tax, legal, or regulatory purpose.

Nothing produced by the Services is accounting, tax, legal, investment, or other professional advice. We are not your accountant, bookkeeper, auditor, or adviser. You remain responsible for the accuracy of your own books and records and for your compliance obligations.

04Connected services

The Services integrate with third-party platforms, which may include accounting systems, e-commerce platforms, spreadsheet and file storage services, email, and logistics or portal systems (Connected Services).

When you authorize a connection, you represent that you have the right to grant that access and to permit us to process the data made available through it. We access Connected Services only within the permissions you grant and only to provide the Services to you.

QuickBooks Online may be a Connected Service. During the current connection-validation phase, ManuFlow uses QuickBooks only to establish and maintain the customer-authorized connection and verify basic CompanyInfo. The Privacy Policy describes the current QuickBooks data use in more detail.

Your use of a Connected Service is governed by your agreement with that provider, not by these Terms. We do not control Connected Services and are not responsible for their availability, accuracy, changes to their interfaces, or their acts or omissions. A Connected Service may change or discontinue access at any time, which may affect the Services.

You may disconnect a Connected Service at any time through the Services. Disconnecting prevents further access and removes the stored connection credential, as described in the Privacy Policy.

05Customer Data

Customer Data means the business records, files, and other data you provide to the Services or that we access through a Connected Service at your direction.

As between you and Syfon, you retain all right, title, and interest in Customer Data. You grant us a non-exclusive, worldwide, royalty-free license to host, process, transmit, and display Customer Data solely to provide, secure, support, and maintain the Services, and as otherwise permitted in these Terms and the Privacy Policy.

You represent that you have the necessary rights and permissions for the Customer Data you provide, and that our processing of it as described will not violate applicable law or a third party's rights.

We may create aggregated or de-identified data that cannot reasonably be used to identify you, your customers, or any individual, and may use that data to operate and improve the Services and for internal benchmarking. We do not use raw Customer Data or personal information to train generalized models.

06Acceptable use

You will not, and will not permit anyone to:

  • use the Services in violation of applicable law or a third party's rights;
  • upload material you lack the right to provide, or that is unlawful or infringing;
  • attempt to gain unauthorized access to the Services, other customers' data, or any related systems or networks;
  • probe, scan, or test the vulnerability of the Services except with our prior written consent;
  • interfere with or disrupt the integrity or performance of the Services;
  • reverse engineer, decompile, or attempt to derive the source code of the Services, except to the extent this restriction is prohibited by applicable law;
  • resell, sublicense, or provide the Services to a third party except as expressly permitted; or
  • use the Services to build a competing product or service.

07Fees

Fees, billing frequency, and payment terms are as set out in your order form, subscription plan, or other written agreement with us. Unless that agreement says otherwise, fees are payable in advance, are non-refundable except as required by law, and exclude taxes, which are your responsibility.

If we materially change fees for a renewal term, we will provide reasonable advance notice.

08Intellectual property

The Services, including all software, interfaces, documentation, and content we provide (excluding Customer Data), and all intellectual property rights in them, are and remain the property of Syfon and its licensors. Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable right to access and use the Services during your subscription term for your internal business purposes.

If you send us feedback or suggestions, we may use them without restriction or obligation to you.

09Disclaimers

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICES ARE PROVIDED AS IS AND AS AVAILABLE, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error free, or secure, that defects will be corrected, or that any output, proposal, extraction, or recommendation will be accurate or complete. We are not responsible for the acts, omissions, availability, or accuracy of any Connected Service or other third party.

10Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO US FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply to your payment obligations, either party's indemnification obligations, or liability that cannot be limited under applicable law.

11Indemnification

You will defend, indemnify, and hold harmless Syfon and its officers, directors, employees, and agents from and against any third-party claim, and any resulting damages, losses, and reasonable costs including attorneys' fees, arising out of or relating to: (a) Customer Data or your provision of it; (b) your use of the Services in violation of these Terms or applicable law; or (c) an action you approved through the Services and its consequences in your connected systems or with your business counterparties.

12Confidentiality

Each party may receive non-public information of the other. The receiving party will use that information only to perform under these Terms and will protect it using at least reasonable care. This does not apply to information that is or becomes public without breach, was already known without a duty of confidence, is independently developed, or is rightfully received from a third party. A party may disclose confidential information where required by law, giving prompt notice to the other party where legally permitted.

13Term, termination, and effect

These Terms apply for as long as you use the Services or as set out in your subscription agreement.

Either party may terminate for material breach that remains uncured 30 days after written notice. You may stop using the Services and close your account at any time. We may terminate or suspend the Services for non-payment, or as described in Section 6.

On termination, your right to access the Services ends. You may export or request your Customer Data before termination and, where practicable, for a reasonable period after. We handle deletion and retention as described in the Privacy Policy. Sections 5, 8, 9, 10, 11, 12, and 14 survive termination.

14General

These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.

We may update these Terms. We will post the updated version and revise the effective date, and for material changes will provide notice where required. Continued use after the effective date constitutes acceptance.

You may not assign these Terms without our prior written consent, except to a successor in a merger or sale of substantially all assets. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.

Neither party is liable for delay or failure caused by events beyond its reasonable control.

These Terms, the Privacy Policy, and any order form or subscription agreement are the entire agreement on this subject and supersede prior understandings. If a provision is unenforceable, it will be limited or severed to the minimum extent necessary and the remainder stays in effect. A failure to enforce a provision is not a waiver of it.

We may send notices to the email associated with your account. Send notices to us at founders@manuflow.ai, or by mail to the address below.
